1. Acceptance of Terms

By accessing or using the ModFXMedia website (modfxmedia.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services

ModFXMedia provides digital marketing services including SEO, paid advertising, social media management, web design, AI lead generation, and related services. The specific scope, deliverables, pricing, and timeline for each engagement are defined in a separate service agreement or proposal provided to the client.

3. Client Responsibilities

• Provide accurate and complete information about your business and marketing goals
• Grant necessary access to ad accounts, websites, and analytics platforms
• Review and approve creative assets, ad copy, and campaign materials in a timely manner
• Make payments on time per the agreed payment schedule
• Comply with all applicable laws and platform policies in connection with your marketing campaigns

4. Results Guarantee

ModFXMedia offers a 90-day results guarantee for qualifying engagements. If measurable results are not achieved within the agreed timeframe, we will continue to provide services at no additional charge until results are demonstrated. The specific terms of any results guarantee are defined in your service agreement. Results are subject to client cooperation, market conditions, and compliance with our recommendations.

5. Intellectual Property

All content created by ModFXMedia as part of your engagement (ad creatives, landing pages, copy, etc.) becomes your property upon full payment. ModFXMedia retains the right to use work samples for portfolio and marketing purposes unless otherwise agreed in writing.

All content on the ModFXMedia website, including text, graphics, logos, and code, is the property of ModFXMedia and protected by applicable copyright laws.

6. Payment Terms

Payment terms are defined in your service agreement. Invoices are due upon receipt unless otherwise agreed. ModFXMedia reserves the right to suspend services for accounts with overdue balances of more than 14 days. A late fee of 1.5% per month may be applied to overdue balances.

7. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the engagement. ModFXMedia will not disclose client-specific data, campaign performance, or business details to third parties without written consent.

8. Limitation of Liability

ModFXMedia's liability for any claim arising from our services is limited to the total amount paid by the client in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits, even if advised of the possibility of such damages.

9. Termination

Either party may terminate a service engagement with 30 days written notice unless the service agreement specifies a different notice period. Fees for work completed up to the termination date are due upon termination. Certain services may have specific termination terms outlined in the service agreement.

10. Governing Law

These Terms of Service are governed by the laws of the State of California. Any disputes shall be resolved in the courts of Orange County, California, or through binding arbitration as mutually agreed.

11. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Material changes will be communicated via email or website notice. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
